Terms of Use

The rules governing your use of the Spequlo platform

1. Acceptance of Terms

By accessing or using the Spequlo platform, website, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Spequlo Technologies Inc. ("Spequlo," "we," "us," or "our"). We may update these Terms at any time. Your continued use after any changes constitutes acceptance of the updated Terms.

2. Eligibility

  • You must be at least 13 years of age to use the Service
  • If you are between 13 and 18, you represent that a parent or legal guardian has consented to these Terms on your behalf
  • By using the Service, you represent that you have the legal capacity to enter into a binding agreement

3. Your Account

3.1 Registration

You may create an account using email/password or Google OAuth. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

3.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep it up to date.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in conduct we deem harmful to the platform or other users.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must NOT:

  • Upload content (photos, images, or data) that you do not have the right to share
  • Upload photos of other individuals without their explicit consent
  • Use the Service to infringe any third party's intellectual property rights
  • Attempt to reverse engineer, decompile, or extract the source code of the platform
  • Use automated tools, bots, or scripts to access, scrape, or interact with the Service
  • Introduce malware, viruses, or any harmful code
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Use the Service for any commercial purpose without our express written consent
  • Harass, abuse, or harm other users
  • Misrepresent yourself or impersonate another person

5. User Content

5.1 Your Content

You retain ownership of content you upload to the Service ("User Content"), including body photos and garment images. By uploading User Content, you grant Spequlo a limited, non-exclusive, royalty-free licence to use, process, store, and display your User Content solely for the purpose of providing the Service to you.

5.2 Content Standards

You represent and warrant that:

  • You own or have the necessary rights to all User Content you upload
  • Your User Content does not violate any applicable law or third-party rights
  • Your User Content does not contain images of minors in a manner that could be harmful

5.3 Community & Campaign Content

If you submit content to community feeds or promotional campaigns, you grant Spequlo the right to display that content publicly on the platform and in marketing materials, subject to our Privacy Policy.

6. Intellectual Property

6.1 Our Property

The Spequlo name, logo, platform design, fit simulation engine, Fit ID system, garment twin technology, tension mapping visualisations, and all related intellectual property are owned by Spequlo Technologies Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any licence to use our intellectual property except as expressly provided.

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an irrevocable, perpetual, royalty-free licence to use that feedback for any purpose without compensation to you.

7. AI-Generated Content & Fit Recommendations

Spequlo's fit predictions, size recommendations, and virtual try-on results are generated by AI and physics simulation models. These outputs:

  • Are provided for informational and decision-support purposes only
  • May not be 100% accurate for all body types, garment styles, or fabric compositions
  • Should not be treated as a guarantee of fit or product quality

We continuously improve our models, but accuracy may vary. Spequlo is not liable for purchasing decisions made based on fit recommendations.

8. Third-Party Services

The Service integrates with third-party AI providers (Replicate, fal.ai, Google Gemini), analytics tools (PostHog, Sentry), and infrastructure services (Supabase). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party service providers.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, Spequlo disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Spequlo and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the greater of (a) the amount you paid to Spequlo in the 12 months preceding the claim, or (b) CAD $50.

11. Indemnification

You agree to indemnify, defend, and hold harmless Spequlo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Toronto, Ontario, under the rules of the ADR Institute of Canada. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spequlo regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver.
  • Assignment: You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
